Agreements

This page outlines the general principles and terms applicable to buyers and suppliers working with Turendo Global.
Detailed commercial, legal, and financial terms are confirmed separately on a deal-by-deal basis.

Supplier Agreement

This Supplier Agreement applies to manufacturers, producers, and exporters supplying products to international buyers introduced by Turendo Global.
Applicable product categories may include home decoration, home textiles, handcrafted accessories, and healthy food products.

1. Turendo’s Role

  • Turendo Global acts solely as an independent sourcing platform, connector, and advisor between suppliers and buyers.

    Unless explicitly agreed in writing, Turendo Global:

    • Does not take ownership of goods;

    • Does not act as exporter or importer of record;

    • Is not a party to sales or purchase contracts between suppliers and buyers.

    All commercial terms (including price, quantity, quality, specifications, delivery terms, Incoterms, and payment conditions) are agreed directly between the supplier and the buyer.

2. Supplier Eligibility & Information

  • Suppliers working with Turendo Global must:

    • Be legally registered and authorised to manufacture and/or export their products;

    • Provide accurate, current information regarding company details, production capacity, certifications, lead times, and product specifications;

    • Comply with all applicable laws, regulations, and standards in both origin and destination markets.

3. Non-Circumvention

Where Turendo Global introduces a supplier to a buyer:

  • The supplier agrees not to bypass Turendo Global in order to avoid agreed fees or commissions;

  • The supplier agrees not to engage directly with introduced buyers without Turendo Global’s consent, where such engagement would circumvent Turendo’s role;

  • Repeat orders, follow-on projects, or referrals originating from an introduced buyer remain subject to Turendo Global’s agreed commercial terms for a reasonable period, or as defined in writing.

Excluding Turendo Global from the commercial structure may constitute a breach of this obligation.

4. Supplier Obligations

  • Suppliers agree to:

    • Communicate promptly, accurately, and professionally;

    • Provide transparent pricing, MOQs, capacity information, and timelines;

    • Inform Turendo Global promptly of any issues affecting quality, production, or delivery;

    • Deliver products that conform to agreed specifications, samples, and standards;

    • Comply with all export, customs, tax, and regulatory requirements applicable to their products.

5. Fees, Commission & Payment

  • Fee structures (commission, success fee, retainer, or hybrid models) are agreed separately in writing;

  • Unless otherwise agreed, fees are calculated on the net invoice value, excluding VAT, duties, and pass-through costs;

  • Turendo Global is not responsible for buyer payment defaults unless explicitly agreed in writing.

6. Liability & Limitations

  • To the maximum extent permitted by law:

    • Turendo Global is not liable for indirect, incidental, or consequential losses;

    • Turendo Global is not responsible for product quality, delivery delays, regulatory non-compliance, or buyer payment failure;

    • Any proven liability may be contractually capped at an agreed multiple of fees paid to Turendo Global.

7. Term & Termination

  • Cooperation is generally project-based and open-ended;

  • Either party may terminate future cooperation by written notice;

  • Termination does not affect Turendo Global’s rights regarding buyers already introduced.

Buyer Agreement

This Buyer Agreement applies to professional buyers sourcing products through Turendo Global across applicable categories, including home decor, textiles, handcrafted accessories, and healthy foods.

1. Buyer Responsibilities

  • Buyers agree to:

    • Provide clear product specifications, volumes, and timelines;

    • Complete internal approvals prior to engaging suppliers;

    • Communicate professionally and honour agreed commercial terms.

2. Due Diligence & Risk

  • Turendo Global facilitates introductions and information exchange but does not replace the buyer’s own due diligence.

    Buyers remain responsible for:

    • Product compliance and certifications;

    • Quality control, testing, and inspections;

    • Internal risk management and regulatory compliance.

3. Turendo’s Role Towards Buyers

  • Turendo Global acts as an independent sourcing platform and advisor.

    Unless explicitly agreed in writing:

    • Turendo Global does not guarantee supplier performance, pricing, or availability;

    • No credit insurance or payment guarantees are provided.

4. Fees & Commercial Model

Compensation for Turendo Global’s services may be paid by the supplier, the buyer, or both, based on a pre-agreed structure.

All fee arrangements are disclosed transparently prior to engagement.

5. Non-Circumvention

Where Turendo Global introduces a buyer to a supplier:

  • The buyer agrees not to bypass Turendo Global to avoid agreed fees or commissions;

  • The buyer agrees not to engage directly with introduced suppliers in a way that circumvents Turendo’s role;

  • Repeat orders, follow-on projects, or referrals originating from an introduced supplier remain subject to Turendo Global’s agreed commercial terms for a reasonable period, or as defined in writing.

Governing Law & Contact

Applicable governing law, jurisdiction, and dispute resolution mechanisms may be specified in individual agreements or order documentation.
