This page sets out the key terms that apply to suppliers and buyers using Turendo Global. By working with us as a supplier or buyer, you acknowledge and accept the relevant terms below.
Supplier Agreement
This Supplier Agreement applies to manufacturers, exporters, and other suppliers who work with Turendo Global to access international buyers.
1. Turendo’s Role
- Turendo Global acts as an independent intermediary, connector, and advisor between suppliers and buyers.
- We do not take ownership of goods and do not act as importer of record or exporter of record, unless expressly agreed in writing in a separate contract.
- Commercial and legal terms of each transaction (price, quantity, quality, delivery, Incoterms, payment, etc.) are agreed directly between supplier and buyer.
2. Supplier Eligibility & Information
- You confirm that you are duly registered and authorised to export and supply the relevant products.
- You agree to provide accurate and up-to-date information on your company, certifications, capacity, lead times, and product specifications.
- You are responsible for ensuring that your products comply with applicable laws, standards, and regulations in the origin and destination markets.
3. Non-Circumvention
Where Turendo Global introduces you to a buyer, you agree not to circumvent Turendo with respect to that buyer. In practice, this means:
- You will not bypass Turendo to avoid fees or commissions in relation to that buyer or any of its group companies.
- If you receive repeat orders, new product enquiries, or referrals from a buyer introduced by Turendo, Turendo remains entitled to its agreed commercial terms (such as commission or success fee) for those transactions, for a period to be agreed in writing or, if not specified, for a reasonable period.
- Any direct contact with the buyer that excludes Turendo from the commercial structure may be treated as a breach of this non-circumvention obligation.
4. Supplier Obligations
- Respond to Turendo and buyers in a timely and professional manner.
- Provide clear and honest information on pricing, MOQ, capacity, and production timelines.
- Inform Turendo immediately of any issues that may delay or impact an order (quality, logistics, raw materials, etc.).
- Deliver products that match agreed specifications, samples, and standards.
- Comply with all applicable export, customs, tax, and compliance requirements.
5. Fees, Commission & Payment
- The commercial model (commission, success fee, retainer, or hybrid) will be agreed separately in writing (for example, by email or a separate agreement).
- Unless otherwise agreed, Turendo’s fees are linked to successful orders and are calculated on the net invoice value excluding VAT and certain pass-through costs.
- Payment terms, Incoterms, and risk allocation between supplier and buyer are agreed directly between the parties, and Turendo is not responsible for payment default unless expressly stated in writing.
6. Liability & Limitations
Turendo is not a party to the sales contract between supplier and buyer, unless explicitly agreed. To the maximum extent permitted by law:
- Turendo is not liable for indirect, consequential, or loss-of-profit damages.
- Turendo is not responsible for product quality, late delivery, regulatory non-compliance, or payment delays by the buyer.
- Any direct liability of Turendo, if established, may be contractually capped at a multiple of the total fees paid to Turendo under the relevant transaction or period.
7. Term & Termination
- The cooperation between Turendo and the supplier is generally open-ended and project-based.
- Either party may terminate the cooperation for future opportunities by written notice.
- Termination does not affect Turendo’s entitlement to fees for buyers already introduced or transactions already in progress.
Buyer Agreement
This Buyer Agreement applies to companies and individuals who work with Turendo Global to source products or suppliers.
1. Buyer Responsibilities
- Provide clear and accurate requests (specifications, volumes, target timelines, and markets).
- Perform internal approvals and budgeting before committing to suppliers.
- Communicate honestly and in a timely manner with Turendo and suppliers.
- Honour agreed commercial terms, including payment, Incoterms, and quality procedures.
2. Due Diligence & Risk
Turendo supports the buyer with information and introductions but does not replace the buyer’s own due diligence. Buyers are responsible for assessing:
- Product compliance and certification for their destination market.
- Reputational, financial, and operational risk of working with a supplier.
- Internal compliance (sanctions, AML, internal policies, etc.).
3. Turendo’s Role Towards Buyers
- Turendo acts as an intermediary and advisor, helping you identify and communicate with suitable suppliers.
- Turendo does not guarantee product performance, delivery times, or long-term viability of any supplier.
- Unless explicitly agreed, Turendo does not provide credit insurance, escrow, or payment guarantees.
4. Fees & Commercial Model
Depending on the project, Turendo may be compensated by the supplier, the buyer, or both, based on a structure agreed in advance (commission, success fee, retainer, or project fee). Such terms will be communicated transparently before engagement.
